Delaware is the leading domicile for U.S. corporations and onshore hedge funds. More than 850,000 business entities now make Delaware their legal home, including more than 50% of all publicly traded companies in the Unites States and 63% of the Fortune 500. The courts of Delaware, especially the famed Delaware Court of Chancery, are the courts of choice for the nation’s most important business disputes, and investors and corporations alike often make finding quality Delaware counsel a priority.

Cases decided in the Delaware Court of Chancery are frequently cited by judges in other jurisdictions throughout the United States. Our attorneys have significant experience in litigation before this Court, including representing shareholders in cases alleging violation of fiduciary duties by corporate officers and board members, allegations of stock option backdating, allegations that shareholder rights were violated in the sale of a corporation, and derivative litigation in which a shareholder seeks the return of monies to the corporation.

Co-Counsel and “Local” Counsel

Delaware courts are particularly strict in recognizing the role of Delaware counsel. Indeed, the Delaware Court of Chancery has criticized the term “local counsel” and expressed the view that a Delaware attorney appearing in any matter remains responsible to the Court regardless of the presence of primary counsel from other jurisdictions. Our attorneys understand this responsibility. Advisory

We are available to advise clients on any aspect of Delaware law, even if a client is not facing litigation.
